About This Document

This Legal Notice, Platform Disclaimer, and Privacy Policy (“Notice”) governs the use of the TektonWorx platform (“Platform”), operated by Tekton Thrive LLC, a company registered in the United Arab Emirates (“TektonWorx”, “we”, “us”, “our”). This Notice applies to all users of the Platform globally, including Freelancers, Companies, and visitors, regardless of the jurisdiction from which the Platform is accessed.

By accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by this Notice in its entirety. If you do not agree, you must discontinue use of the Platform immediately.

2

Governing Jurisdiction & Registered Entity

Tekton Thrive LLC is registered and operates under the laws of the United Arab Emirates. The Platform is subject to UAE federal law as the primary governing framework, including but not limited to:

  • Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (PDPL)
  • Federal Law No. 5 of 1985 (UAE Civil Code) and its amendments
  • Federal Decree-Law No. 26 of 2023 on the Regulation of Commercial Activities
  • Cabinet Resolution No. 33 of 2022 concerning the Executive Regulations of the PDPL
  • Any applicable free zone regulations if TektonWorx operates within a UAE free zone

Where TektonWorx operates within a specific UAE free zone (such as DIFC or ADGM), the regulations of that free zone shall apply in addition to or, where applicable, in priority over federal UAE law. Users operating from the Dubai International Financial Centre (DIFC) acknowledge that the DIFC Data Protection Law (DIFC Law No. 5 of 2020) may apply. Users operating from the Abu Dhabi Global Market (ADGM) acknowledge that the ADGM Data Protection Regulations 2021 may apply.

3

Platform Nature & Scope

TektonWorx is a technology-based introduction and matching platform. It connects independent construction professionals across quantity surveying and commercial management, planning and project controls, contracts and claims, and BIM, digital production and measurement (“Freelancers”) with businesses seeking their professional services (“Companies”), and it provides the construction tender and award information described in Section 8.8.

TektonWorx does not:

  • Employ, engage, supervise, direct, or represent any Freelancer
  • Act as a staffing agency, recruitment agency, labour hire provider, or professional services firm
  • Enter into any contract as a party between Freelancers and Companies
  • Guarantee the availability, suitability, or performance of any Freelancer
  • Guarantee that any Company will engage or pay any Freelancer

TektonWorx acts solely as a neutral technology intermediary. All decisions regarding engagement, pricing, deliverables, timelines, and payment are made exclusively between Freelancers and Companies.

4

No Employment or Agency Relationship

Nothing in the use of this Platform, and nothing in any communication from TektonWorx, shall be construed as creating an employment relationship, agency relationship, partnership, joint venture, or any form of legal association between TektonWorx and any Freelancer or Company.

Freelancers are independent contractors solely responsible for:

  • The quality and delivery of their professional services
  • Their own tax registrations, filings, and obligations in their respective jurisdiction
  • Maintaining adequate professional indemnity and public liability insurance
  • Compliance with all professional licensing requirements applicable in their trade and jurisdiction
  • Any work permits, visas, freelance licences, or right-to-work authorisations required under applicable law, including UAE federal and emirate-level requirements
  • Compliance with UAE Federal Decree-Law No. 33 of 2021 on the Regulation of Labour Relations, where applicable

5

No Liability for Commercial Arrangements

All financial arrangements, payment terms, contracts, invoices, and settlements are agreed and executed exclusively between the Freelancer and the Company. TektonWorx is not a party to these arrangements and expressly disclaims all liability for:

  • Non-payment, underpayment, late payment, or payment disputes of any kind
  • Breach of contract by either Freelancer or Company
  • Misrepresentation, fraud, or negligence by either party
  • Quality, accuracy, completeness, or fitness for purpose of any services delivered
  • Any direct, indirect, consequential, incidental, punitive, or special loss or damage arising from any engagement facilitated through the Platform
  • Any regulatory, tax, immigration, or compliance failure by either party

This disclaimer applies to the fullest extent permitted under the laws of all jurisdictions in which the Platform is accessed or used, including without limitation the United Arab Emirates, the Kingdom of Saudi Arabia, the European Union, the United Kingdom, the United States of America, and the Republic of India.

6

Task Verification Disclaimer

TektonWorx operates a task-based verification process whereby Freelancers may submit structured evidence of prior work experience for review. This verification process:

  • Confirms only that a Freelancer has submitted structured evidence of prior task execution
  • Does not constitute a professional accreditation, certification, qualification, or licence
  • Does not constitute an endorsement, recommendation, or guarantee of performance
  • Does not involve assessment of technical correctness, design quality, standards compliance, or software proficiency
  • Is based entirely on self-declared information provided by the Freelancer
  • Carries no legal weight as a professional credential under UAE law or the law of any other jurisdiction

Companies are solely responsible for conducting independent due diligence on any Freelancer prior to engagement, including verification of qualifications, professional licences, insurance coverage, and any regulatory requirements applicable under local law.

7

Company Responsibilities

By using the Platform, Companies warrant that they:

  • Have full legal authority to enter into engagements with independent contractors in their jurisdiction
  • Will comply with all applicable employment, procurement, and tax laws when engaging Freelancers
  • Will not misuse, sell, or transfer any Freelancer personal data accessed through the Platform
  • Accept full responsibility for the terms, execution, and settlement of any agreement reached with a Freelancer
  • Will comply with UAE anti-money laundering requirements under Federal Decree-Law No. 20 of 2018 where applicable to their engagement

8

Data Protection & Privacy

TektonWorx collects and processes personal data strictly for the purpose of operating, maintaining, and improving the Platform. We do not sell, rent, or transfer personal data to any third party for commercial purposes under any circumstances.

8.1 United Arab Emirates

As our primary jurisdiction of registration, we process personal data in compliance with UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (PDPL) and its Executive Regulations under Cabinet Resolution No. 33 of 2022. Data subjects in the UAE have the right to:

  • Access their personal data
  • Correct inaccurate or incomplete data
  • Request erasure of data where no longer necessary
  • Withdraw consent at any time without affecting prior processing
  • Lodge a complaint with the UAE Data Office

Personal data is processed on the basis of contractual necessity and, where required, explicit consent. Cross-border transfers of personal data are conducted only where adequate protections are in place in accordance with PDPL requirements.

8.2 Kingdom of Saudi Arabia

For users accessing the Platform from the Kingdom of Saudi Arabia, we process personal data in compliance with the Personal Data Protection Law (PDPL) issued by Royal Decree M/19 dated 9/2/1443H and its implementing regulations issued by the Saudi Data and Artificial Intelligence Authority (SDAIA). Saudi users have the right to access, correct, and request erasure of their personal data. Data is not transferred outside Saudi Arabia except in compliance with applicable cross-border transfer requirements under Saudi PDPL.

8.3 European Union

We process personal data of EU residents in compliance with Regulation (EU) 2016/679 (General Data Protection Regulation, “GDPR”). Our lawful bases for processing include contractual necessity (Article 6(1)(b)), legitimate interests (Article 6(1)(f)), and where required, explicit consent (Article 6(1)(a)). EU data subjects have the right to access, rectify, erase, restrict, and port their data, and to object to processing. EU residents may lodge complaints with their local national supervisory authority.

8.4 United Kingdom

We process personal data of UK residents in compliance with the UK GDPR as retained under the Data Protection Act 2018. UK data subjects hold equivalent rights to those described under the EU GDPR section above. Complaints may be directed to the UK Information Commissioner's Office (ICO) at ico.org.uk.

8.5 United States of America

For users in the United States, we comply with applicable federal and state privacy laws. California residents have rights under the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA), including the right to know, delete, correct, and opt out of the sale or sharing of personal information. We do not sell personal information. Residents of Virginia, Colorado, Connecticut, Texas, and other states with comprehensive privacy legislation have equivalent rights under their respective state laws. For data requests, contact us at privacy@tektonthrive.com.

8.6 Republic of India

For users in India, we process personal data in accordance with the Information Technology Act, 2000, the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011, and in compliance with the Digital Personal Data Protection Act, 2023 (DPDPA) as it comes into force. Indian users have the right to access, correct, and seek erasure of their personal data and to withdraw consent at any time. Grievances may be directed to our designated Grievance Officer at grievance@tektonthrive.com.

8.7 General Data Practices (All Jurisdictions)

Regardless of jurisdiction, TektonWorx commits to the following across all operations:

  • Personal data is collected only for specified, explicit, and legitimate purposes
  • Data is not retained beyond the period necessary for the purpose for which it was collected
  • Appropriate technical and organisational security measures are applied to all personal data
  • Data breaches are handled in accordance with applicable notification requirements in each jurisdiction
  • Users may submit data access, correction, or deletion requests at any time by contacting privacy@tektonthrive.com
  • Cookies and tracking technologies are used solely for platform functionality and performance; users may manage cookie preferences at any time

8.8 Tender Feed, Weekly Email, Website Reading and Credits

The tender and award information on the Platform is collected from the official government procurement portal of the Kingdom of Saudi Arabia, and from other official portals as they are added. We collect only what those portals publish for anyone to read; nothing behind a login or a paywall is used. TektonWorx is not affiliated with any government body or portal, and the portal itself remains the authoritative source: the tender documents published there govern any bid.

  • Tender titles and entity names are translated, and winner names transliterated, by machine. The original text, as published, is always available on the Platform.
  • Labels marked PREDICTED are estimates produced by TektonWorx from the published award: its title, buyer, trade, value, bids and winner. They are not facts published by any portal, not advice, and not a representation about any company. Contract values are never shown for a live tender because no portal publishes them before award; award values and bids are shown only as published history about a closed tender.
  • When you leave a work email address on the Platform, we use it to send a confirmation link and, once you confirm, one weekly email with the tenders and awards that match your company profile, plus the emails about the tenders you save and the introductions you request. No weekly email is sent to an unconfirmed address, and none is sent in a week when nothing matches. The weekly email and the emails about saved tenders each carry a one-click unsubscribe link and a List-Unsubscribe header; unsubscribing stops that email at once. Confirmation links expire after 48 hours.
  • If you give us your company website, we read its publicly accessible pages once to suggest your trades and markets. The suggestion is shown to you and saved as your profile only when you confirm or edit it. We do not read pages behind a login and we keep no copy of your website beyond the text needed for the suggestion.
  • Your company profile, your saved searches and your introduction requests are visible only to you and to the TektonWorx team. They are never shown to other members and never published.
  • Credits are an account balance used for a small number of actions on the Platform (an introduction to a winning contractor, a specialist shortlist). A new company account opened with a company email address receives starter credits, once per company. Every movement is recorded in a ledger you can see on the Platform. An introduction request that does not lead to an introduction is refunded automatically. Credits have no cash value and cannot be transferred.
  • An introduction is made by TektonWorx, by email, with the consent of both parties. We do not hand personal contact details of third parties to members. Whether a winning contractor responds is outside our control.
  • We record first-party product events (for example which form a signup came from, or that the board was viewed) to measure and improve the Platform. No third-party advertising or analytics tracker is used on the public pages.

9

Intellectual Property

All content, design, source code, trademarks, branding, and proprietary methodologies on this Platform are the exclusive intellectual property of Tekton Thrive LLC and are protected under applicable UAE law, including Federal Law No. 36 of 2021 on Intellectual Property Rights, as well as applicable intellectual property laws in all jurisdictions in which the Platform operates.

Freelancers retain full ownership of all portfolio materials, documents, and evidence files uploaded to the Platform. By uploading such materials, Freelancers grant TektonWorx a limited, non-exclusive, royalty-free licence to store and display those materials solely for the purpose of operating the Platform. This licence terminates upon account deletion.

No user may reproduce, distribute, modify, or create derivative works from any Platform content without prior written consent from TektonWorx.

10

Prohibited Use

Users may not use the Platform to:

  • Engage in fraudulent, deceptive, or misleading conduct
  • Violate any applicable local, national, or international law or regulation
  • Upload false, misleading, or fabricated verification evidence
  • Infringe the intellectual property rights of any third party
  • Engage in any conduct that violates UAE Federal Law No. 34 of 2021 on Combating Rumours and Cybercrime
  • Circumvent the Platform's payment or access systems
  • Harvest or misuse personal data of other users

Violations may result in immediate account suspension, removal from the Platform, and where required by law, reporting to relevant authorities.

11

Limitation of Liability

To the maximum extent permitted by applicable law, TektonWorx's total aggregate liability to any user for any claim arising out of or in connection with the use of the Platform shall not exceed the total fees paid by that user to TektonWorx in the twelve months immediately preceding the event giving rise to the claim.

TektonWorx shall not be liable under any circumstances for any indirect, consequential, special, incidental, or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunity, or reputational damage, whether arising in contract, tort, or otherwise.

Nothing in this Notice excludes liability for fraud, death, or personal injury caused by gross negligence, to the extent such exclusion is prohibited by applicable law.

12

Indemnification

You agree to indemnify, defend, and hold harmless Tekton Thrive LLC, its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Platform, your breach of this Notice, or your violation of any applicable law or the rights of any third party.

13

Governing Law & Dispute Resolution

This Notice and all disputes arising from or in connection with the use of the Platform shall be governed by and construed in accordance with the laws of the United Arab Emirates.

Any dispute, controversy, or claim arising out of or relating to this Notice or the use of the Platform shall first be referred to mediation in accordance with the UAE Centre for Commercial Conciliation and Arbitration (CCCCA) rules. If mediation fails within 30 days of referral, disputes shall be finally resolved by arbitration under the rules of the Dubai International Arbitration Centre (DIAC), with proceedings conducted in English in Dubai, UAE.

Users in the European Union retain the right to bring claims before their local courts for matters involving mandatory consumer protection rights that cannot be excluded by contract. Users in other jurisdictions agree that UAE courts and arbitral tribunals shall have non-exclusive jurisdiction over all remaining disputes.

14

Changes to This Notice

TektonWorx reserves the right to amend, update, or replace this Notice at any time. Where changes are material, we will notify users via the Platform or by email at least 14 days prior to the changes taking effect. Continued use of the Platform following the effective date of any revised Notice constitutes acceptance of the updated terms.
